DEALER AGREEMENT
As a condition of becoming a dealer of D&D Motor Systems Inc. products, Dealer agrees to abide by the following terms and conditions:
A.
Dealer agrees to use the D&D Motor Systems Inc online “Choosing A Motor Tool” prior to selling the customer any products. If the products are offered without using the “Choosing A Motor Tool”, then the Dealer agrees to indemnify, defend, and hold D&D Motor Systems Inc harmless from any and all claims, demands, liability, losses, expenses, attorney’s fees, and other obligations incurred by D&D Motor Systems Inc which arise out of Dealer’s acts or omissions with respect to any products sold by D&D Motor Systems Inc to Dealer.
B.
Dealer shall carry a policy of insurance with limits sufficient to cover any liability for damage or injury that may occur to it, its employees, or its customers, that may result from the incorrect installation or misuse of D&D Motor Systems Inc products. Dealer agrees to indemnify, defend, and hold D&D Motor Systems Inc harmless from any and all claims, demands, liability, losses, expenses, attorney’s fees, and other obligations incurred by D&D Motor Systems Inc which arise out of Dealer’s acts or omissions with respect to any products sold by D&D Motor Systems Inc to Dealer.
C.
Dealer will represent D&D Motor Systems Inc and its products in a favorable manner and maintain the high standards associated with D&D Motor Systems Inc products. D&D Motor Systems Inc strives to provide high quality products and customer service. We have worked diligently to create a brand that is recognizable, and associated with the highest quality. As a dealer of D&D Motor Systems Inc products, we expect you to represent our product to the same standards.
D.
Dealer will comply with all instructions for installation and use provided by D&D Motor Systems Inc or the relevant manufacturer and shall abide by all warnings and disclaimers. Dealer shall further only install and utilize D&D Motor Systems Inc products for their intended purpose. Dealer agrees that D&D Motor Systems Inc shall not be liable for any damage or injury that may result from the failure to do so.
E.
Dealer shall carry a policy of insurance with limits sufficient to cover any liability for damage or injury that may occur to it, its employees, or its customers, that may result from the incorrect installation or misuse of D&D Motor Systems Inc products. Dealer agrees to indemnify, defend, and hold D&D Motor Systems Inc harmless from any and all claims, demands, liability, losses, expenses, attorney’s fees, and other obligations incurred by D&D Motor Systems Inc which arise out of Dealer’s acts or omissions with respect to any products sold by D&D Motor Systems Inc to Dealer.
F.
Dealer agrees that D&D Motor Systems Inc shall have the right, in its sole discretion, to refuse sale of products to it, approve or deny it from being a D&D Motor Systems Inc dealer, and to revoke this agreement at any time.
G.
Dealer acknowledges that D&D Motor Systems Inc, is the sole and exclusive owner of the names “D&D Motor Systems Inc,” “D&D Motors,” and any and all D&D Motor Systems Inc trademarks, trade names, trade logos, and trade dress appearing on, attached to, or described in, on, or with the products, and Dealer acquires no rights to these trademarks and intellectual property. Dealer shall use D&D Motor Systems Inc trademarks and other intellectual property of D&D Motor Systems Inc for the sole purpose of resale of products to the general public and appropriate promotion of D&D Motor Systems Inc products.
H.
Dealer shall use all images, videos, and instructions created or supplied by D&D Motor Systems Inc for their intended purposes only, including determining the product’s intended use, product installation, and product marketing.
I.
Dealer acknowledges that D&D Motor Systems Inc manufactures and distributes aftermarket products which are designed as replacement parts and accessories for vehicles manufactured by other brands and that while D&D Motor Systems Inc products are designed to replace the parts of or fit vehicles made by E-Z GO, Club Car, Yamaha, and other brands, D&D Motor Systems Inc is not affiliated with these brands in any way. Dealer understands that all related trademarks are the property of these respective brands and that all references to them by D&D Motor Systems Inc are for purposes of identifying golf carts with which particular D&D Motor Systems Inc products are compatible.
